The Canadian Public Health Association
is seeking a short-term
Consultant for a Governance Review in southern Africa

The Canadian Public Health Association (CPHA) is executing the project
Developing Community Competence for HIV and AIDS Response Project in Southern
Africa, through a contribution Agreement from the Canadian International
Development Agency (CIDA).  Known from its inception in 1990 through to late
2003 as the ‘Southern African AIDS Training Programme’, the project evolved in
December 2003 into a regional African non-governmental organization and
constituted as the Southern African AIDS Trust (SAT).

The Southern African AIDS Trust (SAT) is a regional initiative that supports
community responses to HIV and AIDS through partnerships with community groups
in southern Africa and wider networking, skills exchange and lesson sharing
throughout the region and internationally. SAT funding and skills building
activities support the capacity development of partner organizations and their
programming in order to create more effective, sustainable and comprehensive
community responses.  SAT’s overall goal is to build the competence of
communities to develop and manage effective, appropriate and sustainable
responses to the multiple challenges posed by HIV and AIDS.

SAT is composed of a regional secretariat and country offices responding to the
needs of local constituent organizations and communities. The SAT Regional
Secretariat is located in Johannesburg, South Africa.  SAT Country Programme
offices are located in Harare (Zimbabwe), Lilongwe (Malawi), Maputo
(Mozambique), Dar es Salaam (Tanzania) and Lusaka (Zambia).

As SAT enters its third year as an independent organization, several
governance-related issues have been identified as having an impact on its
policy, programming and operational capabilities. At present SAT has a Board of
Trustees (BoT) at its regional level that provides strategic direction through
twice yearly meetings, as well as through ongoing involvement and guidance. The
SAT Board of Trustees currently consists of 7 members. There are currently plans
to expand Board membership to a full complement of 11 members.   There are also
three national level boards (Malawi, Tanzania and Zambia).

CPHA is seeking a Canadian consultant to conduct a  for a total period of up to
35 working days from August until November 2006.  The review will focus on SAT
Board’s governance structure, role/responsibilities, policies/procedures and
internal decision-making processes.  This will be carried out at both the
regional and country levels, as a means of bringing uniformity to SAT’s
governance and harmonize the political and functional relationship among the
various BoT.  The consultant will be expected to produce and submit:
-	a draft report on SAT governance situation and issues as well as number of
future options for SAT to consider;
-	prepare presentation(s) and resource materials for and facilitate a one-day
workshop in South Africa to present, review and discuss the draft report with
SAT Board members and staff in late November 2006 (date and venue to be
confirmed), and;
-	produce a final report which will contain: a) SAT governance current situation
(overview and issues); b) proposed options on type(s) of governance structure
and processes which would suit SAT’s mission; d) feedback from November
workshop and SAT’s preferred way forward; and d) recommended next steps to
implement changes.

The consultant should possess a graduate degree or the equivalent, preferably in
administration, management, health administration or another related subject. 
The consultant should have more than 15 years experience in strategic
development and management, including board management as well as sound
knowledge of governance issues in the not-for-profit sector.  Previous work
experience in Africa, particularly in southern Africa is an asset.  The
Consultant must be able to work and write in English and should be available to
travel to Southern Africa in August/September (7-10 days) and again in November
(3-4 days) to present the review findings and options to the Board of Trustees.

The cover letter should clearly indicate the consultant’s professional fee and
availability from mid-August until the end of November 2006.  Closing date for
receipt of CVs is Thursday, July 20st, 2006.
